Jasper Group is a manufacturer of hospitality furniture serving primarily the hotel, motel, and college dorm industries. Jasper Group and its top management have been expanding the business since 2000. They do this in two ways. They have increased marketing efforts to grow sales. They have also been purchasing furniture manufacturing businesses and re-engineering the plants to produce hospitality furniture. Jasper Group has a plan in place to help guide them through the merger and acquisition process. In 2013 Jasper Group merged with JOFCO, an office furniture manufacturer, and converted the plant to produce hospitality furniture (Group 2016). Lawyers from both sides must meet to determine the legal aspects of the sale. Many things will have to be discussed and dealt with before the deal can be completed. Just a few of the things to be discussed are: retirement and pension funds that the firms have in place, any legal actions that are pending, naming rights, the acquiring firm may, or may not want to use the new firm’s name or the name of the products. Once the lawyers have settled all the legal aspects of the merger or acquisition then the process can go to the next step. The next step in the process is the completion of the financial contract. Money will have to be exchanged and the old business will no longer be considered an independent standalone business. The acquiring business has now accomplished its mission to grow through merging or acquisition. The most important part of the deal is now complete. However, there is another step to the process before a smooth transition can take place. The last step of the process is to restructure the organizational chart. Part of the deal may involve top management from the old firm to have management jobs and titles in the newly merged firm. Restructuring of job responsibilities may have to be done to keep the newly formed unit operating smoothly. There will be a lot of duplicate jobs in which some will have to
