Perfect Hearing is an auditory assistance company that strives to provide affordable, yet advanced products to all those with hearing disabilities. We believe our employees are truly invested in finding the right match of aids for our clients and, therefore, preparing them for a better life, in which they will be able to conduct everyday activities with ease. Our company is forever changing as new standards for audition products are developed in the market everyday; consequently, we stand by the principles that we can do more and do better for everyone who suffers from auditory loss. “A trade secret is information used in one’s business that is neither generally known nor readily ascertainable in the industry and that provides the business owner a competitive advantage over competitors who do not have access to this information.” (Bagley & Dauchy, 2012, p. 25) However, “...some enterprises are willing to unscrupulously steal competitors’ employees with the objective of accessing their creative and inventive abilities, as well as their knowledge of the secrets of success of the competitor.” ("Trade Secrets and Employee Loyalty," n.d.) As Perfect Hearing wants to protect its confidential information, two contractual clauses are introduced in the employment agreements: a mutual non-disclosure clauses and a non-compete agreement. “The mutual non-disclosure [agreement, occurs when] both parties agree not to disclose any confidential information covered by the contract. Such clauses should be included in all types of contracts, be it regular employees, interns, temporary staff, shareholders, customers or anyone else likely to come into contact with the enterprise’s trade secrets.” ("Trade Secrets and Employee Loyalty," n.d.) While the non-compete clause, “...prevents employees from pursuing a similar profession or position with the employers’ competitors or even pursuing personal business using the enterprise’s information.” ("Trade Secrets and Employee Loyalty," n.d.) Neither the non-disclosure nor the non-compete agreements, offer a guarantee that the company’s confidential information will be exposed by departing employees. Therefore, “...keeping the confidentiality of a trade secret is an endless challenge as the fear of disclosure is always present.” ("Trade Secrets and Employee Loyalty," n.d.)
